1. Introduction
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and USR Enterprises Private Limited ("Company", "ZulePay", "we", "us", "our") governing your access to and use of the ZulePay digital wallet, payment services and related services (collectively, the "Services"). By registering for or using the Services, you accept these Terms in full and represent that you are legally capable of entering into a binding contract.
If you do not accept any part of these Terms, you must not register for or use the Services. These Terms, together with the Privacy Policy, the Cancellation & Refund Policy, and any product-specific terms shown to you in the apps, form the entire agreement between you and the Company for the Services.

3. Acceptance of Terms
You accept these Terms by any of the following: (a) tapping "I Agree" or equivalent acceptance affordance; (b) downloading, installing or using the ZulePay app after the effective date of a version; or (c) performing any transaction on the platform. Each acceptance, including the version number, date, time, device and application version, is recorded by us as evidence of your agreement, as permitted under sections 10A to 13 of the Information Technology Act, 2000.
If a new version of these Terms materially changes your rights or obligations, we will notify you through the app or by other channels before it takes effect. Where your explicit re-acceptance is required, continued use without accepting the updated Terms may result in restricted access. If you do not accept an updated version, you may close your account in accordance with Section 21.
These Terms are published in English and, where we make them available, in Hindi or other local languages, before your wallet is issued — so that the terms governing your prepaid instrument are available to you in a clear and simplified form, as required by the RBI. In case of any inconsistency between language versions, the English version prevails.

5. Eligibility
- You must be at least 18 (eighteen) years of age and capable of entering into a legally binding contract.
- You must be an individual resident in India or an international user; for Indian users (including Non-Resident Indians), completion of KYC is mandatory before the applicable Services can be used. For international users, KYC is not required, but bank verification is compulsory before use of the Services.
- You must have a valid mobile phone number (Indian users) or a valid email address, and access to the OTP sent to it.
- One person may hold one ZulePay account; duplicate accounts for the same person are prohibited.
- By registering, you confirm that: (a) all information you provide is true, complete and current; (b) you are not barred from using the Services under any law; and (c) you are not an insolvent, or a person whose account has previously been terminated by us for cause.
6. Electronic Communications and Electronic Contract
- You consent to receive all communications from us electronically — in the app, by SMS, email or push notification — including transaction records, receipts, statements, notices and amendments to these Terms. Such electronic communications satisfy any legal requirement that communications be in writing.
- You acknowledge that electronic contracts formed through the app, including click-wrap acceptance of these Terms, are valid and enforceable under the Information Technology Act, 2000 and the Indian Contract Act, 1872.
- You should retain electronic records of your transactions; you can view and download transaction history in the app, and may request statements from support.
7. Your Account
- Registration. You register by providing your mobile number (or email) and verifying an OTP. On registration a ZulePay account and Main Wallet are created for you, and you may receive a ZulePay ID (your wallet identifier) and, where issued, a UPI virtual payment address linked to your wallet.
- Credentials. You are responsible for maintaining the confidentiality of your OTPs, Transaction PIN, passwords, device unlock credentials and biometric registrations. Never share them with anyone — ZulePay staff will never ask for your PIN or OTP.
- Device binding. Your account is protected by device-bound cryptographic keys used for offline payments. If you change or lose your device, follow the in-app device migration flow; your payment keys never leave your devices and cannot be exported.
- Accuracy. You must keep your profile information accurate and current and promptly update any changes.
- Account security. Notify us immediately at support@zulepay.com if you suspect unauthorised use of your account. Your liability for unauthorised transactions is governed by Section 25 and by our Cancellation & Refund Policy.
8. KYC and Wallet Tiers
- KYC is mandatory for Indian users as required under the PMLA, the RBI Master Direction on KYC and the RBI Master Direction on PPIs. The RBI permits two categories of prepaid wallets, and by using the Services you agree to the terms of the category issued to you:
- Minimum-KYC wallet (small PPI): issued on minimum details — your mobile number verified by a one-time password, a self-declaration of your name, and identification details of an officially valid document — without full KYC. It is reloadable and for the purchase of goods and services only: cash withdrawal and funds transfer to others are not permitted on it. The RBI caps for this category are: loads/reloads of up to ₹10,000 per calendar month and ₹1,20,000 per financial year; an outstanding balance of not more than ₹10,000 at any time; and aggregate debits of not more than ₹10,000 in a calendar month. A minimum-KYC wallet must be converted to a full-KYC wallet within 24 months of issuance; after that period no further credits (loads) are allowed, though you can continue to spend the balance available and receive refunds to the original source. A fresh minimum-KYC wallet will not be issued to you on the same mobile number on the basis of minimum details alone.
- Full-KYC wallet (full-KYC PPI): issued on completion of KYC with Officially Valid Documents and PAN, including video-based customer verification where applicable (to open a full-KYC wallet or convert a minimum-KYC wallet). The outstanding balance is capped at ₹2,00,000 at any time. Full-KYC wallets are reloadable, permit withdrawals to your own verified bank account, transfers to pre-registered beneficiaries, and (where offered) interoperability through UPI or card networks via our partner bank.
- Merchant KYC: applicable to merchants per the Merchant Solutions Terms.
- You authorise us, our partner bank and KYC vendors to verify your identity, and to re-verify (re-KYC) periodically. You must provide Officially Valid Documents, PAN, photograph and any additional information as may be required.
- Pre-registered beneficiaries. Where we enable transfers from your full-KYC wallet to bank accounts of other persons, you must pre-register those beneficiaries with their bank account details in the app. Transfers to pre-registered beneficiaries are capped at ₹2,00,000 per month, with a per-transaction limit of ₹10,000 in the cases prescribed by the RBI; we may set lower, risk-based limits as displayed in the app.
- If you fail to complete KYC, or your KYC expires, your wallet may operate with reduced limits or be restricted (you may still receive refunds of your balance to the original payment source or a verified source, as applicable).
- We may, at any time and as required by law, decline, suspend or close accounts where KYC is incomplete, discrepant, or where the account is involved in suspicious activity.
- Limits. Transaction, wallet and Offline Pocket limits are set per RBI regulations and may change. We may set limits lower than the RBI ceilings based on our risk assessment of your account, as permitted under the PPI Master Direction. The Offline Pocket is capped (currently ₹2,000 at any time), and ISUTs have a validity window (currently 30 minutes from generation). Expired ISUTs are returned automatically as described in the Cancellation & Refund Policy.
9. Loading Money into Your Wallet
- You may load your Main Wallet using UPI, debit/credit cards, net-banking or other methods made available in the app through our payment gateway partners (currently Razorpay). Loads via your UPI virtual payment address are also supported.
- Minimum load: ₹1 per transaction. Maximum load: as displayed in the app and capped per order (currently ₹2,00,000 per gateway order), subject to your KYC tier limits.
- Load fees (exclusive of GST at 18% where applicable) are displayed before you confirm the transaction and currently are: UPI — free; Cards — 2.00%; Net-banking — 1.75%; Wallets — 1.75%. Fees are subject to change under Section 16.
- Wallet balances are held with our Escrow / Partner Bank as required under the RBI PPI framework. The balance in your wallet is a prepaid obligation of the Company to you; it is not a deposit and does not earn interest.
- Money loaded into the wallet must originate from a source owned by you. We may reject or reverse loads from third-party sources where required for compliance.
- Currency and cash loading. The wallet can be loaded or reloaded in Indian Rupees only. We do not offer cash-loading of wallets; if loading through authorised outlets or agents is ever introduced, it will operate within the RBI cash-loading cap (₹50,000 per calendar month where offered), and we remain responsible for the acts of our authorised agents done in the course of their engagement.
- Pre-load disclosure. Before your wallet is first loaded, we will provide you the essential issuance details of your prepaid instrument — its category, applicable limits and validity — by email, SMS or in the app, as required by the RBI.
10. Sending Money (P2P Transfers)
- You may send money from your Main Wallet to other ZulePay users by their ZulePay ID, UPI VPA, phone number, contacts or QR code.
- Payments are final and irrevocable once credited to the recipient's wallet, except in the limited circumstances described in the Cancellation & Refund Policy (e.g., duplicate payment, fraud, or where we are required by law to reverse). Always verify the recipient identifier before confirming.
- Transfer limits apply per your KYC tier and applicable regulations, and are shown before confirmation. Minimum-KYC (small PPI) wallets cannot be used to transfer funds to others — they are for purchasing goods and services only (Section 8); transfers require a full-KYC wallet.
- Certain transactions may require your Transaction PIN and/or biometric authentication.
- Where transfers to pre-registered beneficiaries' bank accounts are enabled, the beneficiary caps in Section 8 apply.
11. Paying Merchants Online (P2M)
- You may pay merchants by scanning their ZulePay/QR code, or by approving a merchant's Payment Request ("collect request") sent to you.
- Payment Requests expire automatically (as shown on the request) if not approved, and you are free to decline any request.
- On successful payment the merchant's wallet/Pending Settlement account is credited and a receipt is generated in the app. MDR/platform fee may be charged to the merchant (Section 15).
- For your protection, we may require additional verification, delay, block or reverse a payment that our fraud systems flag, in accordance with applicable law.
12. Offline Pocket and ISUT Payments
ZulePay's distinguishing feature is the ability to pay without internet connectivity. This Section governs that feature.
- Provisioning. You may provision an Offline Pocket by allocating funds from your Main Wallet, subject to the regulatory cap (currently ₹2,000 outstanding at any time) and your KYC tier. The Offline Pocket can be de-provisioned at any time, returning the funds to your Main Wallet.
- Generation. When you prepare an offline payment, the app carves out a Digital Cheque from your Offline Pocket and mints an ISUT — an end-to-end encrypted, single-use token locked to the recipient's public key. On generation, the corresponding spending power is destroyed on your device ("destroy-on-generate") so the same funds cannot be spent twice.
- Transfer. ISUTs are transferred to the payee over Bluetooth / nearby channels or by QR, without internet. Transfer works customer-to-merchant and customer-to-customer.
- Validity. Each ISUT has a validity window of 30 minutes from generation. If the recipient does not redeem (sync) the ISUT within the window, it expires and the amount is automatically returned to you (credited back to your Offline Pocket / Main Wallet once your device is online), as described in the Cancellation & Refund Policy.
- Redemption and sync. The recipient's device verifies the token cryptographically and queues it; settlement is completed when the recipient's device syncs with the platform. Until sync, the platform may not have visibility of the payment — balances shown on other devices may not reflect offline activity.
- Security model. You acknowledge that: (a) the integrity of offline payments relies on the cryptographic keys held on your device and the recipient's device; (b) you must keep your device secure and report loss immediately; (c) we may blacklist compromised device keys and refuse to honour ISUTs from blacklisted keys; and (d) once an ISUT is accepted by a counterparty, the payment is final like any other payment.
- No tampering. Any attempt to reuse, alter, relay or forge an ISUT is a serious breach of these Terms, may constitute a criminal offence, and entitles us to freeze the account, reverse related entries and report to law enforcement.
- Rooted/jailbroken devices. Offline payments may be disabled on devices that we detect as rooted, jailbroken or otherwise compromised.
13. Bills and Recharges
- You may pay bills (electricity, water, gas, telecom, DTH, FASTag and other BBPS-enabled categories) and purchase recharges through the app via the Bharat Bill Payment System (BBPS) ecosystem, currently routed through BillDesk and participating billers.
- Bill details are fetched from the biller; you are responsible for verifying the consumer number and amount before paying.
- Bill payments are subject to the biller's terms; confirmation timelines depend on the biller. If a bill payment fails or is not confirmed within the timelines in our Cancellation & Refund Policy, the amount is refunded automatically to your wallet or the original source.
- Payments of bills do not constitute proof of discharge of your liability to the biller unless confirmed by the biller; please retain your receipt.
14. Withdrawals
- You may withdraw your Main Wallet balance to your own verified bank account, subject to KYC tier limits and a minimum withdrawal amount as displayed in the app.
- You are responsible for the accuracy of the bank account details saved as a payee; funds remitted to an account you have verified are treated as discharged.
- Withdrawals are processed through banking channels and generally reflect within the timelines in the Cancellation & Refund Policy; delays by banking partners are outside our control.
- Withdrawals to third-party accounts may be refused or reversed where required for compliance.
- Withdrawals are available on full-KYC wallets. Minimum-KYC (small PPI) wallets are purchase-only under the RBI framework; their balance can be refunded to the original payment source as described in the Cancellation & Refund Policy.
15. Merchant Services
If you register as a merchant on ZulePay:
- Onboarding. You must submit true and complete business information and documents (e.g., proof of business, GSTIN where applicable, settlement bank account). We may accept, reject or later revoke merchant registration at our discretion consistent with law.
- Accepting payments. You may accept payments through your ZulePay QR code, Payment Requests, and offline ISUTs. Settlements of your receipts are credited to your Pending Settlement balance and paid out to your registered bank account per the settlement schedule applicable to your rate plan (by default, end-of-day settlement batches on Working Days), subject to any minimum settlement amount (currently ₹1,000 for instant/manual settlement requests) and to holds for chargebacks, fraud or compliance.
- Platform fee (MDR). The MDR applicable to you is shown in your rate plan. Unless your plan provides otherwise: online P2M receipts — 2.00%; offline P2M receipts — 1.50%; with a minimum fee of ₹1 per transaction, plus GST as applicable. We may revise rates prospectively on notice; per-merchant negotiated plans prevail over defaults.
- Merchant obligations. You must: (a) display your QR code as issued, unaltered; (b) not use ZulePay for personal spending beyond permissible P2P use unless you also hold a customer account; (c) honour goods/services obligations to your customers — payment via ZulePay is only the payment leg of your contract with your customer; and (d) cooperate with refunds per our Cancellation & Refund Policy.
- Refunds to customers. You may initiate refunds of payments you received (where the feature is available); the refunded amount (and, where applicable, the fee component) is debited from your balance.
16. Fees and Charges
- The fees we charge are displayed before you confirm a transaction (in the app) and in your rate plan (for merchants). The current indicative schedule is:

- GST and applicable taxes are levied on fees as required by law. Unless stated otherwise, the platform does not charge customers for P2P transfers.
- We may revise fees prospectively by updating the app displays and giving notice; revised fees apply to transactions initiated after the effective date of the change. Where regulation caps or removes a fee (e.g., MDR rules), we comply.
- Third-party charges (e.g., your bank's charges, SMS charges from your telecom operator, currency conversion for international users) are outside our control and are not charged by us.
17. Transaction Limits
- Wallet, transaction, and Offline Pocket limits follow RBI regulations for PPIs and your KYC tier, as displayed in the app, and may be changed by us or by regulatory direction at any time.
- Approaching or exceeding a limit may cause transactions to be declined; you will be informed of the reason in the app where possible.
- Minimum and maximum amounts per transaction type are displayed at the point of transaction (e.g., minimum wallet load ₹1; maximum gateway order currently ₹2,00,000).
18. Your Security Obligations
You agree to take reasonable security precautions, including:
- Keeping your OTPs, Transaction PIN, passwords and device unlock credentials strictly confidential, and never sharing them with anyone, including anyone claiming to be from ZulePay, banks or the police;
- Setting up and using the Transaction PIN and biometric locks offered by the app;
- Installing the app only from official app stores and keeping your operating system updated;
- Notifying us immediately of any unauthorised transaction, phone loss/SIM swap, or suspected compromise (support@zulepay.com / +91 95381 07745);
- Reviewing your transaction history and statements periodically and reporting discrepancies promptly; and
- Cooperating with us and law enforcement in investigating incidents.
19. Prohibited Activities
You must not, and must not attempt to:
- Use the Services for any unlawful purpose, or for goods/services that are illegal or prohibited, including gambling, betting, lotteries (where prohibited), adult content, narcotics, weapons, or fraud of any kind;
- Use another person's identity, account, or payment source, or open accounts under false pretences;
- Exploit, reverse-engineer, probe or test the vulnerability of the platform, or interfere with its cryptography, including ISUTs;
- Reuse, relay, alter or forge tokens; use emulators, rooted/jailbroken devices or automation tools to manipulate the app;
- Engage in money laundering, terrorism financing, structuring/smurfing, circular trading, or layering through P2P/P2M flows;
- Operate as an unregistered payment intermediary, exchange wallet balances for cash at a premium (unlicensed money changing), or misuse merchant accounts for personal remittances;
- Scrape, harvest or misuse other users' data, or send spam or phishing through the platform;
- Infringe our or any third party's intellectual property rights; or
- Circumvent limits by splitting transactions or maintaining multiple accounts; or
- Use the wallet for cross-border outward transactions or remittances under the Liberalised Remittance Scheme (LRS) — INR prepaid instruments cannot be used for cross-border outward transfers of funds or LRS transactions. Any limited cross-border outward facility we expressly enable (on full-KYC wallets, within RBI permission) is capped at ₹10,000 per transaction and ₹50,000 per calendar month. Inward credits to your full-KYC wallet under the Money Transfer Services Scheme (MTSS), where enabled, are capped at ₹50,000 per individual inward remittance.
We may report suspected violations to law enforcement and regulators, including suspicious transaction reports under the PMLA.
20. Fraud Monitoring, Blocking and Reporting
- We monitor transactions for fraud, AML and other risks using automated systems and, where permitted, behavioural patterns described in the Privacy Policy.
- We may, in good faith and where we believe it necessary: delay, block, or reverse a transaction; temporarily freeze an account or feature; require additional verification; or bar counterparties. Where feasible and lawful, we will inform you of the reason and provide a path to resolution.
- We comply with reporting obligations under the PMLA, RBI directions, and the orders of courts, regulators and law enforcement.
- Records and reporting. We maintain records of your wallet transactions for at least 10 years and make them available to the RBI and other regulatory authorities for scrutiny. We file Suspicious Transaction Reports with the Financial Intelligence Unit, India (FIU-IND) where required. By using the wallet, you agree to this record-keeping and regulatory reporting as a condition of the Services.
- Where you are a victim of a cyber-fraud, you should also report to the national cybercrime helpline (1930) and the cybercrime portal, and file a police complaint where appropriate; we will cooperate with such authorities.
21. Suspension, Termination and Account Closure
- By you. You may close your account at any time through the app or by contacting support, after de-provisioning your Offline Pocket, ensuring no pending ISUTs or settlements, and providing a verified bank account to receive your balance. Closure will be processed per the Cancellation & Refund Policy.
- By us. We may suspend, restrict or terminate your account: (a) as required by law, regulation or a competent authority; (b) if you breach these Terms (including Sections 18–19); (c) if KYC is incomplete, lapsed or found discrepant; (d) on reasonable suspicion of fraud, money laundering or security risk; or (e) if no financial transaction takes place in your wallet for twelve months, per the RBI inactivity norms, after notice to you. Except where immediate action is necessary, we will give reasonable prior notice and an opportunity to be heard where feasible.
- Effect of termination. You remain liable for dues and your obligations under these Terms survive termination. On closure, your remaining balance (net of dues and fees) is refunded to your verified bank account, and we may retain records as required by law.
- Forced closure balance. Where an account is closed for cause, any balance may be held and dealt with per legal/regulatory direction, including remittance to authorities or escrow pending investigation.
- Validity, expiry and unclaimed balances. Your wallet carries a minimum validity of one year from the date of its last load or reload. Where an instrument is issued in card form, its validity date is shown on the card. We will notify you of any impending expiry at least 45 days in advance. If your wallet closes or expires with a balance and no claims are pending, that balance is not transferred to our profit and loss account until three years from the closure date, and will be paid to your bank account on written request. A wallet with no financial transaction for twelve months may be marked inactive after notice to you, and can be reactivated after due diligence as prescribed by the RBI.
22. Intellectual Property
- All rights in the platform — the ZulePay name and logos, the apps, website, software, the ISUT/offline payment protocol, designs, documentation and trademarks — are owned by the Company or its licensors and are protected by intellectual property laws.
- We grant you a limited, revocable, non-exclusive, non-transferable licence to use the app for its intended purpose during the term of these Terms. All rights not expressly granted are reserved.
- You may not copy, modify, distribute, sell, lease, or create derivative works of the platform, or use our marks without our prior written consent.
23. Third-Party Services
- The Services depend on third parties: our Escrow/Partner Bank, payment gateways (Razorpay), BBPS operating units and billers (BillDesk and billers), KYC vendors, OTP gateways (msg91), cloud providers, and others. Their availability and performance are not under our control.
- Their own terms apply to their services (e.g., your bank's UPI terms, billers' terms). We are not responsible for third-party acts or omissions except as provided by law.
- If a third-party service is unavailable or delayed, affected Services may be degraded; where money movement is affected, refunds follow the Cancellation & Refund Policy.
24. Disclaimers
- No warranty of uninterrupted service. While we target high availability, the Services are provided on an "as is" and "as available" basis, with routine and emergency maintenance, and we do not promise error-free or uninterrupted operation. Offline payment features are specifically designed to work without connectivity, subject to Section 12.
- Not a bank; no interest. Wallet balances are prepaid balances backed by escrow; they are not bank deposits, and do not earn interest.
- Accuracy of counterparty data. You are responsible for verifying recipient identifiers, bill consumer numbers and amounts before transacting.
- Device and connectivity. The Services require a compatible device; offline features require Bluetooth/nearby channels; you bear telecommunications costs.
- Merchant goods/services. For merchant payments, we are not a party to your contract with the merchant for goods or services; disputes about goods/services should be raised with the merchant, and we will assist as described in the Cancellation & Refund Policy.
- Nothing in these Terms excludes liability that cannot be excluded by law (including under the Consumer Protection Act, 2019).
25. Limitation of Liability
- To the maximum extent permitted by law, our aggregate liability for all claims arising from or relating to the Services is limited to the amount of the affected transaction(s), or the fees we earned on them, whichever is higher, except in cases of fraud, wilful misconduct, gross negligence, or death or bodily injury caused by our breach.
- We are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, goodwill or business opportunities, except to the extent such exclusion is prohibited by law.
- Unauthorised transactions. Liability for unauthorised electronic transactions follows RBI's Customer Protection – Limiting Liability framework: where reported within 3 working days of receiving the communication from us, you bear zero liability; delays in reporting shift liability per that framework and as detailed in our Cancellation & Refund Policy.
- We are not liable for failures of third parties (banks, gateways, billers, telecom operators), force majeure events, or governmental actions, provided we take reasonable steps to mitigate and restore.
26. Indemnity
You agree to indemnify and hold harmless the Company, its directors, officers, employees, and partners from and against all claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any law or third-party right; (c) your misuse of the Services (including prohibited activities); (d) any dispute between you and a counterparty or merchant; and (e) any investigation, penalty or action by a regulator attributable to your conduct. This obligation survives termination.
27. Overriding Effect and Regulatory Compliance
- These Terms are subject to, and shall be construed in accordance with, applicable law and the directions of the RBI and other regulators. If any provision conflicts with mandatory law or regulation, that provision will be modified to the minimum extent necessary and the remainder stays in force.
- Nothing in these Terms restricts rights you have under the Consumer Protection Act, 2019, the DPDP Act, 2023, or other statutes that cannot be contracted away.
- PPI compliance. The wallet is issued and operated under the RBI Master Direction on Issuance and Operation of PPIs, and we comply with its directions — including holding outstanding wallet balances in escrow with a scheduled commercial bank, with the escrow balance at the end of each day not less than the outstanding wallet balances and the payments due to merchants. Where any wallet is issued under a co-branding arrangement, we remain responsible to you for the acts of our co-branding partners in matters relating to customer service, and the co-brand partner's name is displayed on the payment instrument as required by the RBI. Where any facility is offered through authorised agents or outlets, we remain responsible for their acts done in the course of their engagement, and the list of authorised agents is published on our website.
28. Amendments and Versioning
- We may amend these Terms from time to time. Every version carries a version number and effective date, and the current version is always available at https://zulepay.com/terms-and-conditions.
- Amendments take effect from the effective date. Material amendments will be notified to you in the app and/or by other channels before the effective date, and where they materially and adversely affect you, we will seek your acceptance in the app. Continued use after the effective date constitutes acceptance where re-acceptance is not separately sought.
- We retain a version history, and the app records which version you accepted, when, and on which device, so that the terms applicable to any of your transactions can be established.
- Where an amendment is required by law or an RBI direction, it may take effect immediately upon notice.
29. Grievance Redressal
- Lodge a complaint. For any complaint relating to the Services, contact us through the app's help section, at support@zulepay.com, or at +91 95381 07745, with your transaction reference. We will acknowledge within 48 hours, aim to resolve complaints within 48 hours of receipt, and in any event within 30 days where additional aspects require resolution, as required by the RBI's PPI grievance-redressal directions.

- Escalation. If your complaint is rejected or unresolved for 30 days, or you are dissatisfied with the resolution, you may escalate to the Reserve Bank – Integrated Ombudsman Scheme, 2021 (through the RBI CMS portal), subject to the scheme's eligibility, and/or to consumer fora under the Consumer Protection Act, 2019, and/or the Data Protection Board of India for data-protection matters.
30. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of India. The Company is incorporated under the Companies Act, 2013 and registered with the Registrar of Companies, Bengaluru, Karnataka. Subject to Section 29, the parties submit to the exclusive jurisdiction of the competent courts at Bengaluru, Karnataka, India for all proceedings, without prejudice to any statutory rights you may have to approach consumer fora or other authorities at your place of residence.
31. App Stores and Platform Distribution
- The app may be downloaded from the Apple App Store and Google Play. If you obtained the app from a store, that store's terms of use also apply to your use of the app, in addition to these Terms.
- The agreement under these Terms is solely between you and the Company. Apple Inc., Google LLC and their subsidiaries are not parties to it, have no obligation to furnish maintenance or support services for the app or the Services, and are not responsible for any claim relating to the app or the Services or any use of them.
- Apple, and Google in respect of Google Play, are third-party beneficiaries of these Terms and, as such, are entitled to enforce the provisions of these Terms against you as if a party to them.
- Where a purchase or subscription within the app is processed by Apple's or Google's in-app payment systems, that transaction is additionally governed by the applicable store's payment terms — including its billing, receipts and refund practices — and refunds for it must be sought through that store's processes.
- Features and payment methods may differ by platform where a store's rules or device capabilities require it, and the version of the app offered through a store is subject to that store's review and availability policies.
